TERMS OF SERVICE

Welcome to EpiChamp Studios. These Terms of Service (“Terms,” “Agreement”) govern your access to and use of epichampstudios.com, including all pages, content, features, products, services, transactions, communications, and other functionality made available through the website (collectively, the “Site”).

The Site is operated by EpiChamp Studios LLC (“EpiChamp Studios,” “EpiChamp,” “we,” “us,” or “our”).

By accessing or using the Site, creating an account, placing an order, purchasing a product, submitting content, or otherwise interacting with the Site, you acknowledge that you have read, understood, and agree to be legally bound by these Terms and our other applicable policies, including our Privacy Policy, Shipping Policy, and Refund/Return Policy.

1. ELIGIBILITY

You must be legally capable of entering into a binding agreement to use this Site or place an order.

You represent and warrant that all information you provide to EpiChamp Studios is truthful, accurate, current, and complete.

3. OUR PRODUCTS

EpiChamp Studios sells apparel, accessories, artwork, designs, merchandise, and other products offered through the Site.

We make reasonable efforts to accurately display product descriptions, photographs, colors, sizing, materials, availability, and other product information.

However:

Actual colors may vary depending on your device, monitor, display settings, lighting, photography, and manufacturing processes.
Minor variations in printing, stitching, placement, texture, color, sizing, or finish may occur.
Product measurements may have reasonable manufacturing tolerances.
Product images may contain styling, photography, or display elements that are not included with the purchased product unless expressly stated.
Product availability may change without notice.
We reserve the right to discontinue, modify, limit, or change products at any time.

Nothing in these Terms requires EpiChamp Studios to maintain any particular product, design, color, size, quantity, or collection indefinitely.

4. PRODUCT AVAILABILITY AND LIMITED RELEASES

Certain products may be released in limited quantities, as part of a limited collection, seasonal release, special edition, Studio Series release, or other restricted offering.

Any statement concerning limited quantities, availability, release periods, editions, or production quantities will be made in good faith and must accurately reflect the actual offering.

We reserve the right to limit quantities purchased by a customer, household, account, payment method, shipping address, or other identifying information when reasonably necessary to prevent fraud, abuse, resale activity, purchasing manipulation, or other misuse.

We may cancel or refuse an order that violates these Terms or appears fraudulent, unauthorized, abusive, or commercially unreasonable. If we cancel an order after payment has been successfully processed, we will provide any refund required by applicable law and our applicable refund policy.

5. ORDERS AND ACCEPTANCE

Submitting an order through the Site constitutes an offer to purchase the selected products.

An order confirmation does not necessarily mean that EpiChamp Studios has accepted the order.

We reserve the right to accept, reject, cancel, or limit any order for any lawful reason, including:

product availability;
pricing or listing errors;
suspected fraud;
unauthorized transactions;
suspected resale or bulk purchasing;
inaccurate customer information;
shipping restrictions;
payment problems;
violation of these Terms; or
circumstances beyond our reasonable control.

If we cancel an order after charging you, we will issue the applicable refund.

We are not responsible for losses arising solely from an order that was lawfully canceled or rejected in accordance with these Terms.

6. PRICING AND TAXES

Prices displayed on the Site are subject to change without notice.

We reserve the right to correct typographical, pricing, promotional, inventory, or other errors.

If an obvious pricing error occurs, we may cancel the affected order and refund any amount paid.

Applicable sales tax, duties, customs charges, or other government-imposed charges may apply depending on the destination and applicable law.

You are responsible for providing accurate billing and shipping information.

7. PAYMENT AUTHORIZATION

By submitting an order, you authorize EpiChamp Studios and its authorized payment processors to charge the payment method you provide for the total amount of your order, including applicable taxes, shipping charges, and other disclosed charges.

You represent that you are authorized to use the payment method submitted.

We do not intentionally retain complete payment-card information when such information is processed by third-party payment providers.

Payment processing may be handled by third-party providers, including Shopify and other payment processors.

Your use of those payment services may also be subject to their separate terms and policies.

8. SHIPPING AND DELIVERY

Shipping estimates, processing times, and delivery dates are estimates unless expressly stated otherwise.

Once an order is transferred to the applicable carrier, delivery may be affected by circumstances outside our control, including:

carrier delays;
weather;
natural disasters;
customs processing;
incorrect addresses;
transportation disruptions;
labor disruptions;
government restrictions;
lost or damaged packages; or
other events beyond our reasonable control.

You are responsible for providing a complete and accurate shipping address.

If you provide an incorrect address and the package is returned, additional shipping charges may apply where permitted by law.

Nothing in these Terms limits any rights you have under applicable consumer-protection laws concerning delayed or undelivered orders.

Our separate Shipping Policy governs additional shipping terms.

9. RETURNS, REFUNDS, AND EXCHANGES

Returns, refunds, exchanges, damaged-product claims, and other order remedies are governed by our separate Refund/Return Policy, as amended from time to time.

Nothing in these Terms is intended to eliminate rights that cannot legally be waived.

We reserve the right to investigate claims of defective, damaged, incorrect, or missing merchandise and may request reasonable documentation, photographs, order information, or other evidence necessary to evaluate a claim.

Fraudulent or abusive refund and return activity may result in denial of future transactions or termination of Site access to the extent permitted by law.

10. ORDER FRAUD, CHARGEBACKS, AND PAYMENT DISPUTES

You agree not to initiate a fraudulent, deceptive, or unauthorized payment dispute or chargeback.

Before initiating a payment dispute, you agree to make a reasonable effort to contact EpiChamp Studios so that we may investigate and attempt to resolve the issue, except where applicable law or your payment provider’s rules permit otherwise.

Examples of prohibited conduct include falsely claiming that:

an order was never placed when it was;
an item was never received when tracking or other evidence establishes delivery;
a payment was unauthorized when you authorized it;
merchandise was defective when it was not;
merchandise was returned when it was not; or
a refund was not provided when it was.

Nothing in this section prevents you from exercising legitimate rights available under applicable law or your card issuer’s rules.

We reserve the right to provide transaction records, order records, shipping records, communications, photographs, tracking information, and other relevant information to payment processors, financial institutions, insurers, law-enforcement agencies, or other authorized parties when reasonably necessary to investigate fraud or defend a legitimate claim.

11. PROHIBITED CONDUCT

You agree not to use the Site to:

violate any applicable law or regulation;
commit fraud or facilitate fraudulent activity;
impersonate another person or entity;
provide false or misleading information;
interfere with the operation or security of the Site;
introduce malware, viruses, malicious code, or harmful technology;
attempt to gain unauthorized access to accounts, systems, databases, or networks;
scrape, crawl, harvest, copy, or systematically collect Site information without our written authorization;
use automated systems to manipulate inventory, purchasing, releases, promotions, or checkout;

attempt to circumvent any security, authentication, technological, or access-control measure.

We may suspend or terminate access to the Site, cancel orders, restrict purchasing activity, or take other lawful action when we reasonably believe prohibited conduct has occurred.

12. INTELLECTUAL PROPERTY

The Site and its contents are owned by or licensed to EpiChamp Studios and are protected by applicable intellectual-property laws.

This includes, without limitation:

EpiChamp Studios names and branding;
logos;
trademarks;
service marks;
product names;
designs;
artwork;
graphics;
photographs;
videos;
written content;
slogans;
website layouts;
visual elements;
product concepts;
Studio Series materials;
collection names;
original creative works; and
other Site materials.

Except as expressly permitted by us in writing, you may not reproduce, modify, distribute, sell, publish, publicly display, publicly perform, create derivative works from, commercially exploit, or otherwise use our intellectual property.

Your purchase of a product does not transfer ownership of the underlying artwork, design, trademark, copyright, or other intellectual-property rights to you.

You receive ownership of the physical product you lawfully purchase, subject to these Terms, but not ownership of the intellectual property incorporated into that product.

13. TRADEMARKS

“EpiChamp,” “EpiChamp Studios,” associated logos, marks, slogans, collection names, and other branding may constitute trademarks or other protected intellectual property of EpiChamp Studios or its licensors.

You may not use our trademarks or branding in a manner that suggests sponsorship, affiliation, endorsement, partnership, or authorization without our prior written permission.

14. USER CONTENT

The Site may allow customers to submit reviews, photographs, comments, feedback, testimonials, social-media content, suggestions, or other materials (“User Content”).

You retain ownership of User Content that you lawfully own.

By submitting User Content to us or through the Site, you grant EpiChamp Studios a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to use, reproduce, modify, adapt, publish, distribute, display, perform, and otherwise use that User Content for lawful business purposes, including advertising, marketing, promotion, social media, website operation, and product development.

You represent and warrant that:

you own or control the necessary rights to submit the User Content;
the User Content does not infringe another person’s intellectual-property, privacy, publicity, or other rights;
you have obtained any necessary permissions from individuals depicted in the content; and

We reserve the right, but not the obligation, to remove User Content that we believe violates these Terms or applicable law.

15. REVIEWS AND FEEDBACK

Reviews must represent the genuine experience of the person submitting them.

You may not submit fake, misleading, fabricated, fraudulent, or compensated reviews without appropriate disclosure.

You may not impersonate another person when submitting a review.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EPI CHAMP STUDIOS DISCLAIMS WARRANTIES NOT EXPRESSLY PROVIDED IN THESE TERMS, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

WE DO NOT WARRANT THAT THE SITE WILL ALWAYS BE AVAILABLE, SECURE, ACCURATE, COMPLETE, CURRENT, ERROR-FREE, OR FREE FROM HARMFUL CODE.

NOTHING IN THIS SECTION DISCLAIMS A WARRANTY OR RIGHT THAT CANNOT LAWFULLY BE DISCLAIMED UNDER APPLICABLE LAW.

19. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EPI CHAMP STUDIOS LLC AND ITS OWNERS, MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, REPRESENTATIVES, AFFILIATES, SERVICE PROVIDERS, LICENSORS, AND BUSINESS PARTNERS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES ARISING OUT OF OR RELATED TO:

YOUR USE OR INABILITY TO USE THE SITE;
YOUR PURCHASE OR USE OF PRODUCTS;
WEBSITE interruptions;
third-party services;
shipping delays caused by third parties;
unauthorized access or security incidents not caused by our legally actionable conduct;
user-generated content;
reliance on information displayed on the Site; or
any other matter relating to the Site or products,

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EPI CHAMP STUDIOS’ TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS, THE SITE, OR A PRODUCT PURCHASE SHALL NOT EXCEED THE GREATER OF:

(A) THE AMOUNT YOU ACTUALLY PAID TO EPI CHAMP STUDIOS FOR THE SPECIFIC PRODUCT OR TRANSACTION GIVING RISE TO THE CLAIM DURING THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR

(B) ONE HUNDRED U.S. DOLLARS ($100).

This limitation does not apply to liability that cannot legally be limited or excluded under applicable law.

20. PERSONAL INJURY AND PRODUCT LIABILITY

Our products are intended to be used for their ordinary and reasonably foreseeable purposes.

You are responsible for following product-care instructions, sizing information, warnings, and other instructions provided with or concerning the product.

Nothing in these Terms is intended to exclude or limit liability for personal injury, death, fraud, gross negligence, willful misconduct, defective products, or other liability that cannot legally be excluded or limited.

21. INDEMNIFICATION

To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless EpiChamp Studios LLC and its owners, members, managers, officers, employees, contractors, agents, affiliates, licensors, service providers, and representatives from and against claims, liabilities, damages, judgments, losses, costs, expenses, and reasonable attorneys’ fees arising out of or relating to:

your violation of these Terms;
your violation of applicable law;
your misuse of the Site;
your fraudulent or unlawful conduct;
your User Content;
your infringement or alleged infringement of another person’s rights;
your violation of another person’s intellectual-property, privacy, or publicity rights;
your unauthorized use of the Site;
your intentional misconduct; or
disputes between you and another person arising from your conduct.

This indemnification obligation does not require you to indemnify EpiChamp Studios for liability caused by EpiChamp Studios’ own conduct to the extent such indemnification would be prohibited by law.

22. RELEASE OF CLAIMS

To the maximum extent permitted by applicable law, you release EpiChamp Studios and the persons and entities identified in the indemnification section from claims arising from third-party conduct, third-party services, or circumstances outside EpiChamp Studios’ reasonable control.

This release does not apply to claims that cannot legally be released.

23. DISPUTE RESOLUTION

We want to resolve legitimate customer concerns directly whenever reasonably possible.

Before initiating formal legal proceedings, you agree to first contact EpiChamp Studios and provide a written description of the dispute and the requested resolution.

We will have 30 days after receiving your written notice to attempt to resolve the dispute.

Binding Arbitration

To the maximum extent permitted by applicable law, any dispute, claim, or controversy arising out of or relating to these Terms, the Site, a transaction, a product, or your relationship with EpiChamp Studios that cannot be resolved informally shall be resolved through individual binding arbitration rather than in court, except where a claim qualifies for a small-claims court or applicable law prohibits mandatory arbitration.

The arbitration shall be administered by a recognized arbitration provider under its applicable consumer arbitration rules, unless the parties agree otherwise.

The arbitrator, rather than a court, shall generally determine disputes concerning the interpretation, applicability, enforceability, or formation of this arbitration provision, except where applicable law provides otherwise.

The arbitration shall take place in North Carolina or remotely, as permitted by the applicable arbitration rules and applicable law.

The arbitrator may award any remedy that would otherwise be available to an individual claimant under applicable law, subject to these Terms and applicable law.

Class Action Waiver

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DISPUTES SUBJECT TO ARBITRATION SHALL BE BROUGHT ONLY ON AN INDIVIDUAL BASIS.

YOU AND EPI CHAMP STUDIOS AGREE THAT NEITHER PARTY WILL PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, MASS ARBITRATION, REPRESENTATIVE ACTION, OR CONSOLIDATED ACTION AGAINST THE OTHER PARTY, EXCEPT TO THE EXTENT SUCH A WAIVER IS PROHIBITED BY APPLICABLE LAW.

Nothing in this section prevents an individual from bringing an eligible claim in small-claims court.

24. GOVERNING LAW

To the extent permitted by applicable law, these Terms and any dispute arising from or relating to them shall be governed by the laws of the State of North Carolina, without regard to conflict-of-law principles.

Nothing in this section is intended to deprive consumers of mandatory rights or protections provided by the laws applicable to their place of residence.

25. VENUE FOR NON-ARBITRABLE CLAIMS

To the extent a dispute is not subject to arbitration and may lawfully be brought in court, the parties agree that the dispute shall be brought in a court of competent jurisdiction located in North Carolina, unless applicable law requires otherwise.

You consent to the jurisdiction of such courts to the extent permitted by law.

26. FORCE MAJEURE

EpiChamp Studios shall not be responsible for delay, interruption, failure, or inability to perform obligations caused by circumstances beyond our reasonable control, including natural disasters, severe weather, fire, flood, war, terrorism, civil unrest, government action, labor disruptions, transportation disruptions, supply-chain disruptions, internet or telecommunications failures, cybersecurity events, pandemics, epidemics, utility failures, supplier failures, or other unforeseeable circumstances beyond our reasonable control.

Nothing in this section eliminates obligations that cannot legally be excused.

27. TERMINATION AND RESTRICTION OF ACCESS

We reserve the right to suspend, restrict, or terminate your access to the Site, refuse service, cancel orders, or restrict future purchases when permitted by law, including when we reasonably believe you have:

violated these Terms;
engaged in fraud;
abused our policies;
engaged in threatening or harassing behavior;
attempted to compromise the Site;
used unauthorized payment information;
repeatedly initiated illegitimate disputes or chargebacks; or
engaged in conduct that creates a legal, financial, security, or operational risk to EpiChamp Studios.

Termination does not eliminate obligations that by their nature should survive termination.

29. SEVERABILITY

If modification is not possible, the affected provision shall be severed to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

Our failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce that provision later.

A waiver must be express and made by an authorized representative of EpiChamp Studios.

31. ENTIRE AGREEMENT

These Terms, together with policies and documents expressly incorporated into them, constitute the entire agreement between you and EpiChamp Studios concerning your use of the Site and supersede prior or contemporaneous understandings concerning the same subject matter.

If there is a conflict between these Terms and a specific policy concerning a particular subject, the more specific policy shall control for that subject to the extent applicable.

32. ASSIGNMENT
